Terms of Service for ZentraSnap
1. Introduction and Acceptance
These Terms of Service (“Terms”) govern your use of the ZentraSnap application and website (“ZentraSnap”, “we”, “us”, “our”), operated by Cristin Griu in Ireland.
By creating an account, paying for a subscription, or otherwise accessing the app, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the service.
2. Business-to-Business (B2B) Service
ZentraSnap is a specialized software tool intended exclusively for commercial, business, and professional use by accountants, bookkeepers, and financial professionals. ZentraSnap is intended for use by business users acting in a professional capacity. If you are using the service as a consumer, certain consumer protection laws may apply that cannot be excluded by contract.
3. Description of the Service & Processing Architecture
ZentraSnap provides a tool to extract data from financial documents (such as PDF bank statements, invoices, and receipts) and format it into spreadsheets.
- Cloud AI Processing: All financial documents (Bank Statements, Invoices, and Receipts) are securely transmitted via API to our enterprise AI provider (Google) for text extraction.
- Minimal Retention & Security Logging: ZentraSnap does not store your clients' financial documents on its own proprietary databases. However, to ensure platform security and prevent abuse, logs of AI inputs are temporarily retained directly by our Sub-processor (Google AI Studio) and are automatically deleted in accordance with their retention policies. Documents are never used to train third-party AI models.
You are solely responsible for ensuring the physical and digital security of the device, network, and browser you use to process these documents.
4. User Responsibilities
By using ZentraSnap, you agree that you will:

- ●Ensure you have the explicit legal right, authority, and client consent to process any financial data you load into the application.
- ●Maintain the confidentiality of your account login credentials (managed via our authentication provider, Clerk).
- ●Promptly notify us of any unauthorized use of your account.
You agree that you will not:
- ●Use the app in any way that violates applicable data protection laws (including the GDPR).
- ●Attempt to disrupt, overwhelm, or hack the service's hosting infrastructure.
5. Intellectual Property & Acceptable Use
All rights, title, and interest in and to ZentraSnap (including the website, source code, UI/UX, and document extraction algorithms) are the exclusive property of ZentraSnap.
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the app for your internal business purposes. You strictly may not:
- Copy, modify, decompile, reverse-engineer, or attempt to extract the source code or extraction logic of the application.
- Sell, sub-license, or redistribute the ZentraSnap software as your own.
- Use ZentraSnap to build a competing product or service.
6. No Financial or Professional Advice
ZentraSnap is a technical utility tool, not an accounting or advisory service. We do not provide accounting, tax, or financial advice. You are solely responsible for making all financial and accounting decisions for your clients.
7. Verification of Output & Disclaimer of Accuracy
You must independently verify all extracted data. Bank statement formats frequently change, and text extraction is not immune to formatting errors. Furthermore, features that process documents utilize generative artificial intelligence (AI). Due to the nature of AI, the extracted output may contain errors, omissions, or "hallucinations".
We do not guarantee that the Excel outputs generated by ZentraSnap are 100% accurate, complete, or error-free. You are strictly responsible for cross-referencing and verifying all AI-generated data against the original documents before relying on it for accounting, tax filing, or any other purpose. You acknowledge that any reliance on the output of the service is strictly at your own risk.
8. Payments and Subscriptions
If you choose to purchase a premium subscription:
Recurring Billing: By subscribing to ZentraSnap, you authorize us (and our third-party payment processors) to charge your payment method on a recurring basis (e.g., monthly or annually) for the applicable subscription fees.
Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date.
Payment Processor: We use third-party payment processors (such as Stripe) to bill you. We do not store your full credit card information. By providing your payment information, you agree to the payment processor's terms and conditions.
Cancellations: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current paid billing period.
Refunds: Because this is a B2B service, all payments are non-refundable unless otherwise required by applicable law or explicitly offered at our discretion.
We reserve the right to change our pricing upon providing reasonable notice to you. Unless otherwise stated, all fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities (including Irish VAT or EU Reverse-Charge VAT). You are responsible for payment of all such taxes.
9. Third-Party Services
ZentraSnap relies on secure third-party infrastructure to function, including Clerk (authentication), Stripe (billing), Vercel (hosting), Google (AI document extraction and security logging), and Upstash (rate-limiting). We are not liable for any downtime, data loss, or service interruption caused directly by these third-party infrastructure providers. We are not responsible for the policies, security, or practices of these third-party providers.
10. Disclaimer of Warranties
ZENTRASNAP IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, COMPLETELY SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZENTRASNAP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSS, TAX PENALTIES, LOSS OF PROFITS, OR DATA LOSS ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO ZENTRASNAP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Termination
You may terminate this agreement at any time by deleting your account and ceasing use of the service. We reserve the right to suspend or terminate your account immediately, without notice, if you breach these Terms (including failing to pay subscription fees or violating our Intellectual Property rules).
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Effective date" at the top of this document or by sending an email notice. Continued use of the service after changes have been made constitutes your acceptance of the new Terms.
14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of Ireland. The courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
15. Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to outages, cyberattacks, natural disasters, or failures of third-party infrastructure.

For the purposes of the GDPR, the User is the Data Controller of any client financial data processed via the application. As ZentraSnap securely transmits all financial documents to third-party sub-processors to facilitate data extraction, ZentraSnap acts as a Data Processor.
Data Processing Agreement (DPA): To the extent that ZentraSnap processes personal data on your behalf under applicable data protection laws, such processing is governed by our Data Processing Agreement.
